In terms of regulation 5(4) of the Control of Concentrations Regulations, 2002 published in Legal Notice 294 of 2002, the Director General of the Office for Competition notifies for general information that a notification of a concentration between Innovation Labs Limited (St Julians) and KaFe Rocks Ltd (St Julians) was filed on Thursday, 16 November 2023.
The nature of the concentration is the acquisition by Innovation Labs Limited of KaFe Rocks Ltd.
Innovation Labs Limited forms part of the Gaming Innovation Group whose parent company is Gaming Innovation Group PLC (‘GiG’). The group offers B2B Software (platform) and B2B marketing (affiliate) solutions to B2C iGaming Operators. GiG acts as a holding company that purchases, develops, leases or otherwise acquires software, websites, computer programs or any other computer applications whether for its own use, resale or otherwise. The direct acquiring firm, Innovation Labs Limited, has been set up to develop, program in-house, purchase, subcontract, lease or otherwise acquire general software, electronic commerce applications, integrated computer systems, internet related programs amongst others. The focus is on providing these applications for resale, lease, subcontracting, particularly targeting companies involved in online activities and services.
KaFe Rocks Ltd is active in B2B marketing (affiliate) solutions. The company specifically provides promotional, marketing and affiliate services for or in respect of remote gaming companies. KaFe Rocks Ltd owns Digital World Ltd, KaFe Rocks USA LLC and is the majority shareholder of Time2Play Media Ltd.
