In terms of regulation 5(4) of the Control of Concentrations Regulations, 2002 published in Legal Notice 294 of 2002, the Director General of the Office for Competition notifies for general information that a notification of a concentration between Registro Italiano Navale (Rome, Italy), Fondo Italiano d’Investimento SGR S.p.A. (Milan, Italy) and Rina S.p.A. (Genoa, Italy) was filed on Friday, 15 September 2023.
The nature of the concentration is the acquisition of joint control over Rina S.p.A. (“Rina”) by Registro Italiano Navale (“Registro Navale”) and Fondo Italiano d’Investimento SGR S.p.A. (“FII”) on behalf of Fondo Italiano Consolidamento e Crescita (“FICC”) and Fondo Italiano Consolidamento e Crescita II (“FICC II”).
Registro Navale is a non-profit private entity whose aim is to contribute to the community’s interest in safeguarding human life, property and the environment by carrying out and promoting all activities and initiatives in this regard.
FII is a public limited company which manages various closed-end investment funds dedicated to direct investments in Italian SMEs and indirect investments in investment funds. FII is controlled by CDP Equity S.p.A. which is the majority shareholder, and ultimately indirectly by Cassa Depositi e Prestiti S.p.A (“CDP”).
Rina is a public limited company that is currently solely controlled by Registro Navale. Rina, together with its subsidiary companies offers, mainly, certification activities, ship classification services, engineering services and, in general, advanced services to the industry. In particular, the Rina Group is active in engineering consultancy, ship classification and certification, system, product and personnel certification, inspection and testing.
The Director General of the Office for Competition invites interested third parties to submit their written objections on this notified concentration within seven days following publication of this notice at the following address:
