In terms of regulation 5(4) of the Control of Concentrations Regulations, 2002 published in Legal Notice 294 of 2002, the Director General of the Office for Competition notifies for general information that a notification of a concentration between Union Energy & Systems A Ltd (Birkirkara, Malta) and State Oil Company of Azerbaijan Republic (Baku, Azerbaijan) was filed on Tuesday, 11 March 2025.

The nature of the concentration is the creation of a full function joint venture whereby Union Energy & Systems A Ltd and State Oil Company of Azerbaijan Republic will have joint control over Union Energy & Systems Operations Malta Ltd (“Union Energy”).

Union Energy & Systems A Ltd is a private limited liability company, which currently fully owns Union Energy. Union Energy is a holding company and carries out economic activities indirectly through its subsidiaries, which are present in the development and exploitation of natural gas. Following completion, the purpose of Union Energy shall be to carry out the business of producing hydrocarbons.

State Oil Company of Azerbaijan Republic is a state-owned company which produces oil and gas and is involved in up, mid and downstream activities in the global oil and gas sectors. In Malta it generates its revenue through activities relating to LNG.

The Director General of the Office for Competition invites interested third parties to submit their written objections on this notified concentration within seven days following publication of this notice at the following address:
